1. Agreement to Terms
These Terms of Use (“Terms”) govern your access to and use of audria.io and related services (the “Services”), provided by Audria, Inc. (“Audria,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility and Accounts
You may use the Services only if you are at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to do so.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3. Acceptable Use
You agree not to:
Use the Services in violation of any law or regulation.
Interfere with or disrupt the Services or attempt to gain unauthorized access.
Reverse-engineer, decompile, or otherwise attempt to derive source code, except where permitted by law.
Use the Services to send spam, harass others, or transmit malware or harmful code.
We may suspend or terminate your access if we believe you have violated these Terms.
4. Intellectual Property and License
The Services and all content we provide (including software, text, images, graphics, logos, and audio/video) are owned by or licensed to Audria and protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business use, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services except as expressly allowed in these Terms.
5. Your Content
You may submit or upload content to the Services, including text, images, audio, video, and other data (“User Content”). You retain ownership of your User Content.
You grant Audria a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, create derivative works from, and display User Content as needed to operate, maintain, and improve the Services, including quality, safety, and model evaluation, as permitted by law and our Privacy Policy.
You are responsible for User Content and represent that you have the rights to provide it and that it does not violate any law or third-party rights.
6. Beta and Experimental Features
We may offer access to beta or experimental features (“Beta Features”). Beta Features are provided for testing and feedback only, may change at any time, and may be discontinued without notice. They may be less reliable than other parts of the Services and are provided “AS IS.”
If you sign a separate beta participation agreement, its terms will apply in addition to these Terms.
7. No Medical or Legal Advice
The Services support emotional well-being, connection, and engagement. They do not provide medical, psychological, or legal advice and are not a substitute for professional care, diagnosis, or treatment.
Always seek the advice of a qualified health provider with questions about a medical condition. Never disregard or delay professional advice because of something related to the Services.
8. Third-Party Services and Links
The Services may contain links to or integrations with third-party websites, services, or content. We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
9. Privacy
Our collection, use, and sharing of personal information is described in our Privacy Policy, available at https://audria.io/privacy. By using the Services, you consent to our privacy practices as described there.
10. Disclaimers
Your use of the Services is at your sole risk. To the maximum extent permitted by law, the Services and all content are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.
11. Limitation of Liability
To the maximum extent permitted by law, Audria and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits or revenue, whether direct or indirect, or any loss of data, use, or goodwill, arising out of or in connection with your use of the Services.
In no event will Audria’s total liability for all claims relating to the Services exceed the greater of (a) the amount you paid us for the Services in the three (3) months before the claim arose, or (b) one hundred U.S. dollars (US $100).
12. Indemnification
You agree to indemnify and hold harmless Audria and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or applicable law.
13. Changes to the Services and Terms
We may modify or discontinue all or part of the Services at any time. We may update these Terms from time to time. If changes are material, we will provide notice (for example, via the Site or email). Your continued use of the Services after changes take effect means you accept the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of [Colorado] and the United States, without regard to conflict-of-law rules. Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in [Boulder County, Colorado], and you consent to their jurisdiction.
15. Miscellaneous
These Terms, together with our Privacy Policy and any other written agreements you have with Audria, constitute the entire agreement regarding the Services. If any provision is held invalid, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
